Under suitable circumstances, a winding up order may be \u2018stayed\u2019, the effects will be similar (but not entirely the same) as a winding up order being set aside.<\/p>\n\n\n\n<p>\u5ef6\u7f13\u6e05\u76d8\u4ee4<\/p>\n\n\n\n<p>\u6839\u636e1965\u5e74\u300a\u516c\u53f8\u6cd5\u300b\u7b2c243\u6761\u62162016\u5e74\u300a\u516c\u53f8\u6cd5\u300b\u7b2c493\u6761\uff0c\u6e05\u76d8\u4ee4\u4e0d\u80fd\u88ab\u64a4\u9500\u3002\u5728\u9002\u5f53\u60c5\u51b5\u4e0b\uff0c\u6e05\u76d8\u4ee4\u53ef\u4ee5\u88ab\u201c\u6401\u7f6e\u201d\uff0c\u5176\u6548\u529b\u4e0e\u64a4\u9500\u6e05\u76d8\u4ee4\u76f8\u4f3c\uff08\u4f46\u4e0d\u5b8c\u5168\u76f8\u540c\uff09\u3002<\/p>\n\n\n\n<p>Priority Creditors and Distribution of Assets to the unsecured creditors<\/p>\n\n\n\n<p>The duties of the Liquidator of a wound up company are as follows:<\/p>\n\n\n\n<p>\u4f18\u5148\u503a\u6743\u4eba\u548c\u65e0\u62c5\u4fdd\u503a\u6743\u4eba\u7684\u8d44\u4ea7\u5206\u914d<\/p>\n\n\n\n<p>\u6e05\u76d8\u516c\u53f8\u7684\u6e05\u7b97\u4eba\u804c\u8d23\u5982\u4e0b\uff1a<\/p>\n\n\n\n<p>-ensuring all the Federal Taxes, amounts owing to EPF and SOCSO are paid<\/p>\n\n\n\n<p>-\u786e\u4fdd\u652f\u4ed8\u6240\u6709\u8054\u90a6\u7a0e\uff0c\u5bf9\u9a6c\u6765\u897f\u4e9a\u96c7\u5458\u516c\u79ef\u91d1\uff08EPF\uff09\u548c\u9a6c\u6765\u897f\u4e9a\u793e\u4f1a\u4fdd\u9669\u673a\u6784\uff08SOCSO\uff09\u7684\u603b\u503a\u52a1\uff1b<\/p>\n\n\n\n<p>-ensuring all company contracts (including employee contracts) are completed, transferred or otherwise brought to an end;<\/p>\n\n\n\n<p>-\u786e\u4fdd\u6240\u6709\u516c\u53f8\u5408\u540c\uff08\u5305\u62ec\u5458\u5de5\u5408\u540c\uff09\u5747\u5df2\u5b8c\u6210\uff0c\u8f6c\u8ba9\u6216\u7ec8\u6b62\uff1b<\/p>\n\n\n\n<p>-carry on the business with a view of eventually ceasing the company\u2019s business;<\/p>\n\n\n\n<p>-\u4ee5\u6700\u7ec8\u4f1a\u7ec8\u6b62\u8be5\u516c\u53f8\u7684\u4e1a\u52a1\u7684\u5ff5\u5934\u800c\u7ee7\u7eed\u4e1a\u52a1\uff1b<\/p>\n\n\n\n<p>-settling any legal disputes, the liquidator may have to take legal advice to do that;<\/p>\n\n\n\n<p>-\u6e05\u7b97\u4eba\u53ef\u80fd\u9700\u8981\u6c42\u6cd5\u5f8b\u610f\u89c1\u4ee5\u89e3\u51b3\u4efb\u4f55\u6cd5\u5f8b\u7ea0\u7eb7\uff1b<\/p>\n\n\n\n<p>-selling any assets by Public Tender, Public Auction or Private Treaty;<\/p>\n\n\n\n<p>-\u901a\u8fc7\u516c\u5f00\u62db\u6807\uff0c\u516c\u5f00\u62cd\u5356\u6216\u4e2a\u4eba\u534f\u8bae\u51fa\u552e\u4efb\u4f55\u8d44\u4ea7\uff1b<\/p>\n\n\n\n<p>-collecting in money owed to the company, the liquidator may have to take legal actions to do that;
