otherwise brought to an end, after the Companies Winding Up Order;<\/p>\n\n\n\n<p>-\u786e\u4fdd\u5728\u516c\u53f8\u6e05\u76d8\u4ee4\u4e0b\uff0c\u6240\u6709\u516c\u53f8\u5408\u540c\uff08\u5305\u62ec\u5458\u5de5\u5408\u540c\uff09\u5747\u5df2\u5b8c\u6210\uff0c\u8f6c\u8ba9\u6216\u7ec8\u6b62\uff1b<\/p>\n\n\n\n<p>-carry on the business with a view of eventually ceasing the company\u2019s business, notwithstanding the Companies Winding Up Order;<\/p>\n\n\n\n<p>-\u5728\u6709\u516c\u53f8\u6e05\u76d8\u4ee4\u7684\u60c5\u51b5\u4e0b\uff0c\u4ee5\u6700\u7ec8\u4f1a\u7ec8\u6b62\u8be5\u516c\u53f8\u4e1a\u52a1\u7684\u60f3\u6cd5\u800c\u7ee7\u7eed\u4e1a\u52a1\uff1b<\/p>\n\n\n\n<p>-settle any legal disputes, the liquidator may have to take legal advice to do that, after the Companies Winding Up Order;<\/p>\n\n\n\n<p>-\u5728\u516c\u53f8\u6e05\u76d8\u4ee4\u4e0b\uff0c\u6e05\u7b97\u4eba\u53ef\u80fd\u9700\u8981\u5bfb\u6c42\u6cd5\u5f8b\u610f\u89c1\u4ee5\u89e3\u51b3\u4efb\u4f55\u6cd5\u5f8b\u7ea0\u7eb7\uff1b<\/p>\n\n\n\n<p>-sell any assets by Public Tender, Public Auction or Private Treaty;<\/p>\n\n\n\n<p>-\u901a\u8fc7\u516c\u5f00\u62db\u6807\uff0c\u516c\u5f00\u62cd\u5356\u6216\u4e2a\u4eba\u534f\u8bae\u51fa\u552e\u4efb\u4f55\u8d44\u4ea7\uff1b<\/p>\n\n\n\n<p>-collect monies owed to the company, the liquidator may have to take legal actions to do that; and<\/p>\n\n\n\n<p>-\u6e05\u7b97\u4eba\u53ef\u80fd\u9700\u8981\u91c7\u53d6\u6cd5\u5f8b\u884c\u52a8\u6765\u6536\u53d6\u6240\u6b20\u516c\u53f8\u7684\u6b3e\u9879\uff1b\u548c<\/p>\n\n\n\n<p>-distribute any funds to creditors (which is called a dividend) and returning share capital to the shareholders (any surplus after repayment of all debts and share capital can be distributed to members, that is, shareholders).<\/p>\n\n\n\n<p>-\u5c06\u4efb\u4f55\u8d44\u91d1\u5206\u914d\u7ed9\u503a\u6743\u4eba\uff08\u79f0\u4e3a\u80a1\u606f\uff0c\u5e76\u5c06\u80a1\u672c\u8fd4\u8fd8\u7ed9\u80a1\u4e1c\uff08\u507f\u8fd8\u6240\u6709\u503a\u52a1\u548c\u80a1\u672c\u540e\u7684\u4efb\u4f55\u76c8\u4f59\u90fd\u53ef\u4ee5\u5206\u914d\u7ed9\u6210\u5458\uff0c\u5373\u80a1\u4e1c\uff09\u3002<\/p>\n\n\n\n<p>-whether the creditors will receive their claims in full will depend on the value of the assets realised by the liquidator.<\/p>\n\n\n\n<p>-\u503a\u6743\u4eba\u662f\u5426\u5c06\u5168\u989d\u6536\u5230\u503a\u6743\u5c06\u53d6\u51b3\u4e8e\u6e05\u7b97\u4eba\u6240\u53d8\u73b0\u7684\u8d44\u4ea7\u4ef7\u503c\u3002<\/p>\n\n\n\n<p>The distribution will be on the basis of \u201cPari passu\u201d.<\/p>\n\n\n\n<p>\u5206\u914d\u5c06\u57fa\u4e8e\u201c Pari passu\u201d\u539f\u5219\u3002<\/p>\n\n\n\n<h3>Definition of Pari Passu<\/h3>\n\n\n\n<p>Pari Passu\u7684\u5b9a\u4e49<\/p>\n\n\n\n<p>Pari passu, a short definition: everyone receiving the same percentage.<\/p>\n\n\n\n<p>Pari passu\uff0c\u4e00\u4e2a\u7b80\u77ed\u7684\u5b9a\u4e49\uff1a\u6240\u6709\u4eba\u5c06\u5f97\u5230\u76f8\u540c\u7684\u767e\u5206\u6bd4\u3002<\/p>\n\n\n\n<p>Pari passu is a Latin phrase that literally means \u201con equal footing\u201d.&nbsp;&nbsp; In the Companies Winding Up sense, for the same class of creditors, each creditor will get the same percentage of their debts.&nbsp;&nbsp; For example if there is a 10% distribution, the creditor that is owed RM2 million will get RM200,000 as dividend;
