{"id":7359,"date":"2020-04-17T17:22:48","date_gmt":"2020-04-17T09:22:48","guid":{"rendered":"http:\/\/alexchanglaw.com\/?p=7359"},"modified":"2024-11-29T18:17:28","modified_gmt":"2024-11-29T10:17:28","slug":"winding-up-period-extended-21-days-6-months","status":"publish","type":"post","link":"https:\/\/alexchanglaw.com\/index.php\/winding-up-period-extended-21-days-6-months\/","title":{"rendered":"Winding up period extended 21 days 6 months"},"content":{"rendered":"\n<h3>You Can Issue a Demand but you must wait 6 months to sue <\/h3>\n\n\n\n<p><a href=\"http:\/\/alexchanglaw.com\/index.php\/tempoh-penggulungan-dilanjutkan-hingga-21-hari\/\" target=\"_blank\" rel=\"noreferrer noopener\">Versi Bahasa Malaysia<\/a><\/p>\n\n\n\n<p><a href=\"https:\/\/alexchanglaw.com\/index.php\/winding-up-period-extended-21-days-6-months-chinese\/\" target=\"_blank\" rel=\"noreferrer noopener\">\u4e2d\u6587\u7248<\/a><\/p>\n\n\n\n<h3>Nuclear Bomb&nbsp;<\/h3>\n\n\n\n<p>1\tDuring the Movement Control Order (MCO), on April 10, 2020, our Minister of Domestic Trade and Consumer Affairs, the Honourable Datuk Alexander Nanta Linggi&nbsp; struck&nbsp; a nuclear bomb into the hearts of millions of creditors in the country: &nbsp; you can issue a Statutory Notice&nbsp; of Demand but can only file your winding up petition 6 months later.&nbsp;<\/p>\n\n\n\n<h3>Quick Background&nbsp;<\/h3>\n\n\n\n<p>2  Usually a creditor may file a winding up petition 21 days&nbsp; after issuing a statutory notice, <strong><a rel=\"noreferrer noopener\" aria-label=\"please click here for more details (opens in a new tab)\" href=\"https:\/\/alexchanglaw.com\/index.php\/companies-winding-wind-debtor\/\" target=\"_blank\">please click here for more details<\/a><\/strong>.  For even <a href=\"https:\/\/alexchanglaw.com\/index.php\/glossary\/faqs\/\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"more questions on companies winding up, please click (opens in a new tab)\"><strong>more questions on companies winding up, please click<\/strong><\/a> here. <\/p>\n\n\n\n<p>3 \ts465(1)(e) of the Companies Act 2016 (hereinafter the &#8220;Act&#8221;) reads as follows:&nbsp;<\/p>\n\n\n\n<p> \u201c465&nbsp; Circumstances in which company may be wound up by Court&nbsp;<br> (1) The Court may order the winding up if-<br> (e) the company is unable to pay its debts;\u201d<\/p>\n\n\n\n<p> 3.1  s466(1)(a) of the&nbsp; Act 2016&nbsp; reads as follows:&nbsp;<br> &#8220;466&nbsp; Definition of &#8220;inability to pay debts\u201d<br> (1) A company shall be deemed to be unable to pay its debts if-<br> (a) the company is indebted in a sum exceeding the amount as may be prescribed  by the Minister and a creditor by assignment or otherwise has served a notice of  demand, by himself or his agent, requiring the company to pay the sum due by  leaving the notice at the registered office of the company, and the company has for  twenty-one days after the service of the demand neglected to pay the sum or to  secure or compound for it to the satisfaction of the creditor;\u201d<\/p>\n\n\n\n<p>4 \ts466(1)(a) of the Act provided three parts, &nbsp;<\/p>\n\n\n\n<p>\t4.1 \tThe amount owing may be determined by the Minister from time to time;&nbsp;<\/p>\n\n\n\n<p>\t4.2 \tThe service of notice of demand;&nbsp;<\/p>\n\n\n\n<p>\t4.3 \tAfter 21 days, the creditor may file a petition against the debtor.<\/p>\n\n\n\n<h3>A Statutory Triple Jump&nbsp;<\/h3>\n\n\n\n<p>5 \tWhat the Honourable Minister could do as prescribed by the Companies Act 2016 was only with respect to the amount owing, his power stops there.&nbsp;<\/p>\n\n\n\n<p>\t5.1&nbsp; \tHowever&nbsp; to amend the period from 21 days to 6 months, such power is not conferred onto the Minister by the Act;&nbsp;<\/p>\n\n\n\n<p> 5.2  We believe&nbsp; there was an oversight as the Minister must has thought that he had a power to amend the amount and therefore the&nbsp; period as well via a Triple Jump skipping the tabling and passing of the amendment of the Act by a Bill of Parliament, the Royal Assent and the &nbsp; Gazette Notification. &nbsp; &nbsp;<\/p>\n\n\n\n<h3>Further Clarification&nbsp;<\/h3>\n\n\n\n<p>6 \tWe are seeking further clarification with the Companies Commission of Malaysia. &nbsp;<\/p>\n\n\n\n<p>\t6.1 \tWith the greatest respect, we feel &nbsp;
