Corporate Law<\/strong><\/a><\/h3>\n

Terdapat dua jenis peguam korporat. Jenis yang pertama adalah yang menjadikan sesuatu menjadi kenyataan. Mereka berurusan dengan penggabungan dan pengambilalihan, agar syarikat boleh berkembang dan perniagaan juga lebih maju. Ini adalah pekerjaan terbaik kerana peguam dapat menyaksikan wajah ceria dan gembira pihak-pihak yang terlibat.<\/span><\/h3>\n
There are\u00a0two types<\/em><\/strong>\u00a0of corporate lawyers. \u00a0The first type make things happen. \u00a0They deal with merger and acquisition, so that companies can grow bigger and business may flourish. \u00a0These are the best jobs as the lawyers see happy parties and cheerful faces.<\/span><\/h5>\n

Jenis peguam korporat yang kedua adalah yang muncul apabila keadaan tidak menyebelahi kita. Wajah-wajah yang asalnya gembira menjadi marah atau risau tentang cara rakan-rakan mereka menguruskan syarikat.<\/span><\/h3>\n

The\u00a0second type<\/em><\/strong>\u00a0of corporate lawyers, they come in when things go south. \u00a0The originally happy faces become angry or worried about the manner the corporation had been handled by their friends.<\/span><\/h5>\n

Kami tergolong dalam jenis kedua.<\/strong><\/span><\/h2>\n

Dalam hari-hari kami, kami telah melihat keperluan rakan kongsi (pada asasnya pemegang saham) mendapatkan perintah daripada mahkamah untuk memasuki premis rakan kongsi yang lain (pada asasnya pemegang saham yang lain) untuk mencari dokumen yang mempunyai risiko untuk dimusnahkan. Injunksi jenis ini dipanggil Injunksi Anton Pillar.<\/span><\/h3>\n

We belong by and large to the second type.<\/span><\/h5>\n

In our days, we have seen the need for a partner (essentially a shareholder) having to get an order from the court to enter the premises of another partner\u00a0(essentially another \u00a0shareholder) to search for documents that are at risk of being destroyed. \u00a0 This type of injunction we call it an\u00a0Anton Pillar Injunction.<\/em><\/strong><\/span><\/h4>\n

Terdapat juga situasi dimana pemegang saham \u201chilang\u201d atau enggan untuk hadir ke mesyuarat lembaga dan kami terpaksa menggulung (menutup) syarikat itu, jika tidak syarikat itu perlu terus menghantar laporan yang telah diaudit dan keperluan statutori lain.<\/span><\/h3>\n
There are instances where the shareholder has \u201cdisappeared\u201d or refused to come for board meetings and we had to wind up (close) the company, otherwise the company will have to continue to submit audited reports and other statutory requirements.<\/span><\/h5>\n

Pada suatu ketika kami pernah membantu seorang anak lelaki yang menghadapi penggulungan syarikat milik bapa dan anak selepas bapanya telah menerima pinjaman besar dan pemiutang mengambil tindakan untuk membuat penggulungan syarikat itu.<\/span><\/h3>\n
There is one instance we assisted a son who faced winding up of the father and son company after the father had taken a huge loan and the creditors took action to wind up the Company.<\/span><\/h5>\n

Terdapat situasi lain juga apabila pindahan saham telah ditangguhkan dan klien kami diperintahkan oleh mahkamah untuk membayar ganti rugi sebanyak RM74 juta dan kami berjaya melenyapkan jumlah RM74 juta itu menjadi kosong.<\/span><\/h3>\n
There is one instance when the transfer of \u00a0shares was delayed and our clients were ordered by the court to pay damages of RM74 million and we reduce that RM74 million to nothing\u2026<\/span><\/h5>\n
